Countryside® Herb Farms was incorporated in the State of Florida as COUNTRYSIDE USA - Countryside Farms, Inc., and is managed by The ATMOSA Group of Companies of Palm Beach. COUNTRYSIDE®, (hereinafter referred to collectively as the “Company”), is primarily engaged in the manufacturing and marketing scented merchandise, the blending and packaging of herbs, spices and seasoning mixes and various organic farming operations. The Company markets to independent retailers, gourmet food departments, spas, resorts and luxury boutiques though groups of independent sales representatives, various trade shows, print and Internet advertising. Distributors market the Company products to other specialty retailers and direct to consumers via the Internet.
Since 1979, the principal business of the Company has been the manufacturing of home fragrances. The home fragrance business includes manufacture of scented potpourri, decorative room air fresheners, aromatherapy products, wardrobe sachets, organic essential oils, scented oils for potpourri refreshing, bulk herbs, spices, seasonings blends along with traditional Asian herbal supplies. The Company sells a range of culinary spices and seasonings blends for the gourmet retailer, grocery and restaurant industries.
Products and Manufacturing:
The Company farms and cultivates botanicals and also purchases herbs, spices and other raw materials in bulk, evaluates for quality control purposes prior to processing, blending and consumer packaging. Since 1985, many Company products are manufactured in accordance with its specifications and standards by various contract packagers in the United States. The Company has developed and enforces stringent quality controls and procedures to verify that its packagers have complied with specifications and best manufacturing standards.
Source and Availability of Raw Materials:
Raw Materials used in the manufacture of Company products are available from a number of sources, and the Company has not experienced any major difficulty in obtaining adequate sources for its raw materials. In some case, the Company contracts for is requirements up to 30 months in advance to assure timely delivery. In the past, the Company has found alternative sources of raw materials when needed, and therefore, believes it should be able to do so in the future.
Seasonality of Operations:
The Company maintains on-demand production and JIT inventory methods reducing the requirement for large storage and delivering freshly packaged merchandise to retailers and consumers. The business of the Company reflects strong manufacturing activity in the last quarter of the year resulting from strong shipments of holiday merchandise. The Company has managed to meet the daily requirements of its customers by forecasting production volumes and advance production planning. The Company has a diverse customer base and is not dependent upon a single customer or a few customers, so the loss of any one would not have a significant adverse effect upon operations.
