Countryside USA-Countryside Farms, Inc. PENNSYLVANIA ECONOMIC DEVELOPMENT PROJECT Countryside USA - Countryside Farms, Inc., (hereinafter referred to collectively as the “The Farm”), is engaged in organic farming and production of organically-grown agricultural products; The Farm also operates an international spice trade, marketing botanicals, herbs, spices and seasoning blends including the manufacture of scented potpourri, packaging of fragrance oils, extracts, home fragrances and perfumed wardrobe sachets. The Farm markets its products to the public through a direct sales force of independent representatives and distributors. The Farm merchandise is sold at independent boutiques, spas and various luxury brand retailers under the Countryside Fragrances and Countryside Herb Farms trademark. The Farm also provides private-label home fragrance contract packaging for cosmetic, personal care and other retail enterprises. Since 1979, principal business activities include organic farming and agricultural products. The Farm home fragrance business manufactures potpourri, decorative room air fresheners, simmering potpourri, wardrobe sachets, air fresheners, packaged scented oils and decorative botanicals. The Farm produces bulk and packaged mulling spices, cinnamon sticks, cloves, organic herbs and seasoning blends for gourmet stores, restaurant supply, grocery distributors and beverage retailers. The Farm is operated as a social enterprise, selling items produced by employees and local citizens. The Farm provides jobs in the manufacturing and service industry and creates employment opportunities for persons who are either underemployed, unemployed or low skilled. The Farm also provides employment training skills for persons who are marginalized within society and may experience difficulties accessing mainstream employment. All net profits of The Farm, after payment of taxes and operating expenses are donated to non-profit charitable and educational organizations. Products and Manufacturing: The Farm maintains strict quality controls during mixing, blending and throughout the packaging process. Since 1985, certain Farm products are manufactured in accordance with its specifications and standards using contract packaging services. The Farm has developed and enforces stringent quality controls and procedures to verify that its suppliers have complied with specifications and standards and that Farm food products are not outsourced to third-parties located outside the United States or its territories. Source and Availability of Raw Materials: Raw materials used in the manufacture of Farm products are available from a number of global sources, and the Farm has not experienced any major difficulty in obtaining adequate sources for its raw materials. In some cases, the Farm contracts for its requirements up to 12 months in advance to assure timely delivery. In the past, the Farm has found alternative sources of raw material supply when needed, and therefore, believes it should be able to do so in the future. Seasonality of Operations: The Farm maintains on-demand production and just-in-time inventory methods reducing inventory storage requirements designed to deliver freshly packaged merchandise to consumers and retailers. The business of the Farm reflects strong manufacturing activity in the last quarter of the year resulting from shipments of holiday merchandise and The Farm has managed to meet delivery requirements by forecasting and advance production planning. The Farm has a diverse customer base and is not dependent upon a single customer or a few customers, so the loss of any one would not have a significant adverse effect upon operations.
